Sound familiar?

Dormant does not mean forgotten by Companies House.

A lot of directors assume that because the company is not trading, nothing needs doing. That is not how Companies House or HMRC see it. Filing deadlines still apply, penalties are automatic and arrive without warning, and the distinction between dormant for Companies House purposes and dormant for HMRC purposes catches people out more often than it should.

  • Companies House deadline missed because the company was not trading
  • Uncertainty over whether HMRC needs notifying about dormancy separately
  • No clear sense of what needs filing and when each year

What correctly filed looks like

Dormant accounts are straightforward when you know exactly what is required and when. The filings are handled before the deadlines, Companies House and HMRC are kept in step, and you have a clear record of what has been filed.

  • Accounts and confirmation statement filed well before Companies House deadlines
  • HMRC notified of dormancy status where required, nothing overlooked
  • A clear filing schedule so you always know what is due and when
  • Fixed fee — no surprises on the invoice when the filing goes in

What you get

Everything your dormant company needs filed

One fixed fee covers the annual obligations — accounts, confirmation statement, and HMRC dormancy notification where applicable. Nothing falls through the gaps.

01

Dormant Accounts for Companies House

Dormant accounts are prepared to the correct standard and filed with Companies House before the deadline. Abbreviated dormant accounts are simpler than trading accounts, but they still need to be prepared and submitted on time. Penalties for late filing begin at £150 and increase the longer the delay runs.

Filed before deadline
02

Confirmation Statement Filing

Every company — dormant or otherwise — must file a confirmation statement at least once every twelve months. We handle this for you so it does not slip. The filing confirms your company’s registered details are accurate and up to date with Companies House.

Included as standard
03

HMRC Dormancy Notification

Companies House dormancy and HMRC dormancy are assessed separately, which is where most confusion arises. If your company has never traded or has ceased trading, HMRC may need to be notified — and the process differs depending on whether a corporation tax return is required. We work out exactly what applies to your situation.

Why Oldham businesses choose us for dormant filing

There are plenty of accountants who will file your accounts. Fewer will tell you proactively when your deadline is approaching, explain exactly what is required, and make the whole thing take as little of your time as possible.

📋

Your filing deadlines are monitored throughout the year. You will not need to set a reminder or chase us to act — we will come to you well ahead of the due date. Which is, frankly, the way it should be.

💬

Plain-English answers the same day

Questions about your dormant company get answered the day you ask them — by phone, email, or WhatsApp. No jargon, no waiting three days for a reply, no being passed between departments. One accountant, accessible and direct.

Getting started

Up and running in four straightforward steps

Getting your dormant company filing in order takes less effort than most people expect. Here is how it works from first contact to filed accounts.

1

Get in touch — free

Call 0161 706 1523, email, or use the contact form. We reply the same day. Tell us your company name and the situation — trading history, last filing date, whether you have heard from Companies House or HMRC — and we will take it from there. No pressure, no obligation.

2

We review what is outstanding

We check Companies House and HMRC records to establish exactly what has been filed, what is overdue, and what needs doing next. If there are penalties on the account already, we will tell you clearly what they are and what can be done.

3

We prepare and file everything

Dormant accounts, confirmation statement, and any required HMRC notification are prepared and submitted. You will see everything before it goes in and can approve it with a simple electronic signature. Your involvement is minimal.

4

Your company is compliant again

Once filed, you have a clear record of what has been submitted and when the next deadline falls. If your plans change and you want to start trading, we can advise on reactivating the company and what that means for your tax obligations — straightforward, when you are ready.

Questions

What people ask about dormant company accounts

My company has never traded — does it still need to file accounts with Companies House?+

Yes. Every company incorporated at Companies House is required to file accounts and a confirmation statement each year, regardless of whether it has ever traded. Dormant accounts are a simplified format, but the filing obligation exists from the moment the company is incorporated. Missing the deadline results in an automatic penalty starting at £150 for accounts up to one month late.

What does it cost to have dormant company accounts filed?+

Dormant company accounts are priced on a fixed-fee basis. The fee covers preparing the dormant accounts to the correct statutory format, filing with Companies House, and submitting the annual confirmation statement. If HMRC also needs to be notified, that is included. You will receive a clear quote before any work begins.

My company is years behind on filings — can you still help?+

Yes. Overdue accounts are a common situation and entirely manageable. We check the Companies House record to establish what is outstanding, prepare the outstanding filings in the correct order, and submit them. We will also tell you clearly what penalty notices are on the account and whether any are subject to appeal. The main thing is to get the filings in — outstanding accounts do not improve with time.

Is there a long-term contract if I just need dormant accounts filed once?+

No. There is no lock-in. If you need a one-off filing to bring the company up to date, that is available on a fixed-fee basis. If your situation is ongoing — company remaining dormant for the foreseeable future — an annual arrangement makes sense and saves you having to think about it each year. Either way, the choice is yours.

What is the difference between dormant for Companies House and dormant for HMRC?+

They are assessed separately and the thresholds differ. For Companies House, a company is dormant if it has had no significant accounting transactions during the period. For HMRC, dormancy relates to whether the company has any corporation tax liability — a company can be dormant for Companies House purposes but still have a corporation tax filing obligation. We assess both positions for your company so the correct notifications go to the correct bodies.

If I want to start trading again, what happens to the dormant status?+

You notify HMRC within three months of starting to trade and corporation tax obligations resume from that point. Companies House does not need a specific notification — your next set of accounts will be trading accounts rather than dormant ones. We can advise on the steps involved, what records to start keeping, and what tax obligations apply when you are ready to reactivate.
